Business terms for users of the MealPass service
These Terms of Business for users of the MealPass service (” Terms of Business “) regulate the rights and obligations from the contract concluded between you as a user (” User “) and the company Veta savjetovanje doo (” Service Provider “).
These Terms of Business apply to every use of the MealPass service, and by using the MealPass service you confirm that you are familiar with these Terms of Business and that you agree to them. Therefore, please read the Terms and Conditions carefully before using the MealPass service.
- Definitions
” Membership Fee ” means the annual or monthly fee that the User of the MealPass Service, or another person on his behalf, pays for the use of the MealPass Service;
” User ” means any person who uses the MealPass service for the purpose of obtaining discounts on payments for food and beverages in the hospitality facilities of the Service Provider’s Partners. In the event that a legal entity has an open user account in the MealPass system, the provisions of these Terms of Business that refer to Users who are natural persons will be appropriately applied to it, with the exclusion of the provisions that, in accordance with the relevant regulations on consumer protection, refer to consumers;
” MealPass account ” means the User’s unique user account in the Service Provider’s system through which the User confirms his status and obtains a discount in the hospitality facilities of the Service Provider’s Partners using the MealPass service;
“MealPass system” means the electronic system that is established, maintained and managed by the Service Provider or a person designated by the Service Provider, and which enables users to be provided with basic information about the Service Provider’s Partners, the creation and use of a unique user account for each individual MealPass User, and discounts in catering facilities Partner of the Service Provider.
“MealPass service” means the use of the MealPass system, which is made available to Users by the Service Provider for the purpose of consuming and paying for food and beverages in the hospitality facilities of the Service Provider’s Partners with a discount;
“Partner” means a catering facility whose owner has entered into a partnership agreement with the Service Provider, and which offers the consumption of food and beverages at a discount to MealPass Users;
“Service provider” means the company Veta savjetovanje d.o.o., with headquarters in Zagreb, Ožujska 1, registered in the court register of the Commercial Court in Zagreb under number (MBS): 081126210, OIB: 46740102542;
“Agreement on consumption” means the contractual relationship between the User of the MealPass service and the Partner of the Service Provider, which is created during each consumption of food and drinks at the Partner’s place with the use of the MealPass service.
” Animation ” is an animated approval that the user presents to the restaurant staff in order to obtain a discount on consumption. In order to be able to open Animation, the user must have an active membership fee and select the location of the catering facility where he is located.
- Description of the MealPass service
2.1. The MealPass service in its system provides basic information (location, working hours, type of service, etc.) about the hospitality facilities of the Service Provider’s Partners, and where applicable, with a link to the Partner’s web pages where more detailed information about the Partner’s offer is available, and enables discounts on food and drinks consumed in the Partner’s restaurant.
2.2. All Partners of the Service Provider who have entered into a cooperation agreement with the Service Provider have a “MealPass” sticker on the door of the catering facility where it is possible to use the MealPass service as a sign of recognition for the Users.
2.3. By using the MealPass service, the User has the right to pay for the consumption of food and drinks in the hospitality facilities of the Service Provider’s Partner with a discount of up to 14% (fourteen percent).
- Activation of the MealPass service and conclusion of the contract
3.1. To use the MealPass service, the User must download the MealPass application from the iOS App Store or Google Play store, and register their unique user account in the MealPass system with a username and password. When registering a user account, the Service Provider collects certain personal data from the User, such as first and last name and e-mail address, mobile phone number. The collection and processing of the User’s personal data are regulated in more detail by the Service Provider’s Privacy Policy. During the duration of the contractual relationship with the Service Provider, the user must keep the data in the user account accurate, complete and up-to-date.
3.2. Before starting to use the MealPass service, the User is obliged to pay the annual or monthly membership fee for using the MealPass service.
3.3. The agreement on the use of the MealPass service between the User and the Service Provider is considered concluded from the moment of payment of the Membership Fee by the User, that is, in the case that the User is a natural person who joined MealPass through his employer, the agreement on the use of the MealPass service between the User and the Service Provider is considered concluded from the moment of membership approval by the Service Provider.
3.4. The contract between the User and the Service Provider for the use of the MealPass service is concluded for one year or for the period for which the User has paid the membership fee, and during this period the User can use the MealPass service in accordance with these Terms of Business.
3.5. To pay for consumption in the catering facilities of the Partner through the MealPass service, the User uses the usual means of payment – cash or cards, and obtains a discount by showing the Animation in the MealPass application.
- Using the MealPass service
4.1. The Partner of the Service Provider in the MealPass system provides Users with information about their products and services through the MealPass service, including, in relation to individual Partners, and through a link to web pages with information about the menus and prices of the Partner’s products.
4.2. A User who consumes food and/or drinks in a Partner’s catering facility pays for such consumption with cash or cards, and the discount is granted by presenting Animations to the staff of the catering facility in the MealPass system, which is connected to the unique user account of each User.
4.3. Based on the presented Animation, the staff of the catering facility charges the User for the amount of consumption, minus the amount of the discount.
4.4. The user is entitled to a discount on consumption in the hospitality facilities of the Service Provider Partner only if, when paying for the consumption, he presents the Animation within the MealPass system.
4.5. The user can get a discount through the MealPass system and outside the Partner’s catering facility, provided that it is a supply of food and drinks by the Partner, and which supply is provided outside the Partner’s catering facility – the so-called catering. The aforementioned supply of food and drink outside the Partner’s catering facility is possible only if it is about the supply of food and drink for 25 or more people or by agreement with the Partner.
4.7. In order to obtain a discount from Partners who have their own Loyalty applications, the Service Provider can register the User in the Partner’s Loyalty system through a special programming link (API) in order to enable discounts to the User. In this case, the discount is achieved with such Partners by using the Partner’s Loyalty system and the User agrees to the Terms of Use and the Privacy Policy of those Partners whose Loyalty systems they use to obtain the discount. In that case, the data processing manager becomes the Partner who owns the Loyalty application.
- The relationship between the User and the Partner of the Service Provider
5.1. The consumption of food and drinks in the hospitality facility of the Service Provider Partner creates a separate contractual relationship between the User and the Service Provider Partner (Consumption Agreement). The User and the Partner are fully responsible for fulfilling their rights and obligations from such a contractual relationship.
5.2. The sale and purchase of the Partner’s products and services may be subject to the Partner’s additional terms of business. The Partner, at its own discretion, determines the prices of the products on which the User can obtain a discount by using the MealPass service.
5.3. The Partner of the Service Provider is solely responsible to the User for the timely and accurate compilation, updating and maintenance of data on the offer of the Partner’s catering facility.
5.4. The Partner of the Service Provider is solely responsible to the User for any discrepancies between the information on the Partner’s offer available on the link that can be accessed via the MealPass system and the products available in the Partner’s restaurant.
5.5. The Partner of the Service Provider is solely responsible to the User for the availability of individual products from its offer in the hospitality facility.
5.6. The Partner of the Service Provider is solely responsible for the fulfillment and maintenance of sanitary and hygienic conditions in relation to the catering establishment and all food and drinks that the User of the MealPass service consumes in the Partner’s catering establishment, as well as for the execution of all other rights and obligations that he has from the Consumption Agreement with By the user during consumption in the catering facility of the Partner.
- Responsibility and obligations of the User
6.1. The MealPass service is available to Users who are at least 18 (eighteen) years old.
6.2. The user must comply with all applicable rules and regulations when using the MealPass service, which includes the purchase of alcohol and tobacco products.
6.3. The user is fully responsible for obtaining and maintaining a mobile device that enables access to the MealPass service and for the existence of an Internet connection necessary for accessing and using the MealPass service.
6.4. The User may not allow a third party to use the User’s unique user account.
6.5. If the User has knowledge that any unauthorized person was able to find out the User’s user account information or gain access to the User’s user account in any way, the User is obliged to immediately notify the Service Provider at the email address kontakt@mealpass.hr, after which the Service Provider will block the User’s account and/or MealPass card without delay.
6.6. The User will be held responsible for any use of the MealPass service and for any activity under the User’s user account until the moment the Service Provider is notified of unauthorized access to the User’s user account, unless the Service Provider is responsible for providing unauthorized access.
6.7. After receiving the User’s report about unauthorized access to the User’s account, the Service Provider will take appropriate technical measures so that the User can continue using the MealPass service without interruption, which includes unblocking the MealPass account after changing the User’s password, assigning the User a new unique code for using the MealPass service and possibly other necessary measures.
6.8. The service provider is authorized to remove the User from the MealPass service with immediate effect and claim compensation for all damages from the User if:
- The User abuses the MealPass service or causes any damage or loss by using the MealPass service to the Partner and/or Service Provider and/or their employees, as well as to any third party;
- The user acts fraudulently when using the MealPass service; or
- The User otherwise fails to comply with his obligations arising from these Terms of Business and the contractual relationship with the Service Provider.
- Confidential information
The Service Provider will not use confidential information related to the MealPass Service User, and will not collect, process and store the MealPass Service User’s personal data for any purpose that is not in accordance with the Service Provider’s Privacy Policy, or that is not necessary for the exercise of rights or obligations pursuant to these Terms of Business.
- Intellectual property
All intellectual property rights, whether registrable or not, in connection with the MealPass Service, including any possible future changes thereof, are the sole property of the Service Provider.
- Limitations of liability
9.1. The service provider does not make any representations and warranties that are not expressly stated in these Terms of Business.
9.2. The Service Provider shall not be held liable for any loss or damage that the User or any third party may suffer in connection with the MealPass Service, unless such damage is caused by the intent or gross negligence of the Service Provider.
9.3. The Service Provider acts only as an intermediary between the Service Provider’s Partner and the User. For this reason, the Service Provider will in no case be held responsible for any action or omission of the Partner from a contractual or non-contractual relationship with the User that may result in direct or indirect damage or loss to the User and/or a third party.
9.4. The service provider will not be held responsible for difficulties in the operation of the MealPass service and its related applications if such difficulties arose as a result of the actions of the Partner, the User, or any third person, or were caused as a result of force majeure, which in particular includes (but is not limited to na) unprofessional or unauthorized use of the MealPass application, breaking of the Internet connection, technical difficulties with the User’s mobile device, etc.
9.5. The service provider will not be held responsible for any damage caused as a result of the User’s use and reliance on information about the offer of the Partner’s catering facility available through the MealPass system.
- Duration and modification of the Terms of Business
10.1. These Terms of Business shall enter into force on the date of their publication and shall remain in force until further notice, as long as the User uses the MealPass service.
10.2. The user can at any time access the current version of these Terms of Business on the website of the Service Provider mealpass.hr. The Provider will notify the Users of the MealPass service in writing about any more extensive changes to these Terms of Business at least 15 (fifteen) days before the entry into force of such amended version. If the User does not agree to the amended MealPass Business Terms, he/she is obliged to stop using the MealPass service.
- Applicable law and dispute resolution
11.1. The law of the Republic of Croatia is applicable to the contractual relationship between the User and the Service Provider resulting from the use of the MealPass service.
11.2. All disputes that may arise from or are related to the contractual relationship between the User and the Service Provider, the User and the Service Provider will try to resolve amicably. If it is not possible to resolve the dispute amicably, it will be resolved before the competent court in Zagreb.
11.3. No waiver of action for violation of any provision of these Terms of Business or the contractual relationship between the User and the Service Provider shall be considered a waiver of action for any other violation of any other provision of these Terms of Business or the contractual relationship between the User and the Service Provider.
11.4. The provisions of these Terms of Business are independent and separate from each other and in the event that any or any of the provisions of these Terms of Business become or become invalid or unenforceable in whole or in part, this will not affect the validity or enforceability of any of the other provisions of these Terms of Business .
